I currently have plans to establish a corporation in the future, though I am not certain how far into the future that may be. A while back I enlisted my friend to be a part of it and we would work on it to establish the corporation when the time came. Now thing between us are turning sour, and I no longer want to work with him and vice versa. He is threatening that if I kick him out from working with me, that he will run off and register the name and ideas we discussed for the company so that I will not be able to. Keep in mind, absolutely nothing has been done towards actually establishing the company, and there have not been any sort of legal contracts. All it has been so far was a verbal agreement between us and discussion of ideas.
This is why I want to know if it is possible to register a the name and logo for the corporation before actually establishing the corporation itself. I do not want the name taken by him or by anyone else before I am able to.
Also two side questions:
1) If it is not possible to register a name and logo before establishing a corporation, can the corporation be established, but not actually do anything until you are ready to work towards it? What would the costs of it be?
2) When I type in the name of my desired company (let's just call it "X" Corporation), a company in Eastern Asia named "X" Electronics Corporation comes up as the first result. Would this cause legal issues, even if my corporation was not in the electronics industry?
