For any and all legal advice and for the exact wording a legally binding contract requires you must contact a lawyer. All cities have groups such as the Chamber of Commerce or a small business networking group that can help start up business find the resources they need to start a business including lawyers who specialize in setting up small businesses. What's legal for me in my location might not be legal where you live. The internet is a poor place to get legal advice and Yahoo Answers is probably an even worse place. There are legal requirement for businesses that vary from country to country, state to state. You should know legal issues pertaining to your business BEFORE you start up a business.

What you're looking for is a "partnership" agreement. Try the self-help section in a good bookstore, or at Amazon.com, looking under "how to start a small business". Get familiar with the options then go see an attorney who can put it all together to meet your specific needs. If you do it by yourself and it's wrong, then you have nobody to blame but yourselves. If you hire a licensed professional, you'll get what you pay for.
